The Australian Health Promotion Association is seeking to recruit up to three positions to the National Board to fill casual vacancies.
Per the Constitution (section 40), AHPA Directors may at any time appoint a person qualified to be a director, either to fill a casual vacancy or as an addition to the existing Directors. Any director appointed under this rule holds office until the termination of the next annual general meeting and is then eligible for re-election. It is an exciting time to be part of the Association with the development of the new Strategic Plan underway, conditional approval of our Reconciliation Action Plan, extension of Commonwealth funding and a change to systems and processes.
We are looking for committed, passionate, innovative and experienced health promotion researchers, practitioners, advocates or policymakers with interest and/or experience in governance. We are particularly looking for those with interest or experience in policy and advocacy, technology and IT systems, human resources, project management and business development. We are committed to improving gender equity, and diversity and inclusion on the Board.
We are seeking to fill up to three General - Director roles.
About the Board
The Board oversees strategic priorities as well as day-to-day management of AHPA. This includes:
- financial operations and solvency
- all matters as prescribed by law
- strategic direction
- any non- routine financial claim against the organisation
- all insurance matters
- any potential or actual legal action against the organisation
Specific duties
General - Director
The role provides an opportunity for participation in a non-for-profit Board in a generalist capacity, supporting and or leading the work of key committees or work. The Board decides what Association matters are delegated to specific Directors, contractors or volunteers, and what controls are in place to oversee the operation of those delegated powers. It is expected that General Board members take an active role in leading a key area of the Association’s work.
Directors are expected to give their specific expertise generously to the organisation. The AHPA Board is a working board. All Directors are expected to participate actively in the business of the Association. The Board oversees strategic priorities as well as the day-to-day management of AHPA, including making any representations or agreements with member companies, suppliers, business partners, employees or other parties or organisations. Directors must actively contribute to Board discussions and decision making in the best interest of AHPA.
Time commitment
The AHPA Board is a working board and members will give their specific expertise generously to the organisation. All Directors are expected to participate actively in the business of the Association, contributing to Board discussions and decision making in the best interest of AHPA.
- The term is currently until the next Annual General Meeting (June 2025).
- Board meetings are monthly for around 2 hours.
- Committee meetings are usually also monthly for an additional 1-2 hours.
- Independent work is expected outside the Board meetings to further the strategic agenda of the Association as directed (e.g. document development, document review).
- Directors must be able to attend all meetings (and not miss more than three) and commit to leading and/or contributing to specific Committee activity
Eligibility
To be eligible, you must be a current financial, full, individual member of the Association. A member of AHPA’s Board of Directors is a ‘Company Director’ as defined by the Corporations Act. The Corporations Act 2001, along with the AHPA constitution, set out the responsibilities and requirements of members of the Board. You should note that there are legal requirements regarding nominating to become a Company Director. These laws relate to bankruptcy and insolvency. Anyone accepting nomination to the AHPA Board should ensure that they meet the requirements to become a company Director set out by ASIC.
